Terms of Use

Please read these terms of use carefully to ensure that you understand each provision.
We, AdsHelper reserves the right to change our Services, Pricing, any AdsHelper Terms and notice, and any other terms and condition with or without prior notice. However, if there are any changes made that bring an adverse impact to you, and you had a contract and: or prepaid for a time period, you may inform us within seven days after being informed of the changes that you do not agree. Your continued use of the Services after the updated terms take effect means you accept them; the date of the latest change is shown at the bottom of this page.

Your Rights and Obligations
During the registration with AdsHelper, you are responsible for using your username and your email address and should never share it with a third party to access your account. If you have authorized other users to use your service with AdsHelper, you are responsible for all the individuals that you had authorized to use your services.

Charges and Free Trials
Based on our Payment Terms, you must pay all applicable fees timely. If you sign up for a free trial period for our services, we may require you to provide us with a valid credit card and start charging you automatically on the first day after the free trial is over, unless you cancel your account before the end of the free trial period. However, if the credit card is removed during the trial period, the trial account will be suspended immediately.

Subscription
We’ll automatically bill you starting on the date you first purchase your subscription (or whenever your payment method is successfully charged), and on each periodic renewal date (monthly, annually, or other renewal period) until cancellation (see “Cancellation” below for more information on how to cancel a subscription). By initiating your first subscription fee payment, you authorize us to charge your payment method for recurring subscription fees on an ongoing basis. For annual subscriptions, we’ll send you a reminder of the then-current subscription fee at least 30 days, and at most 60 days, in advance of your automatic renewal, or as otherwise required by applicable law. Some states and countries have mandatory laws regarding your cancellation rights, and this paragraph does not override those laws. UNLESS YOU NOTIFY US OF YOUR DESIRE TO CANCEL YOUR SUBSCRIPTION (IN ACCORDANCE WITH THE “CANCELLATION” SECTION BELOW), YOU UNDERSTAND THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US TO AUTOMATICALLY CHARGE YOUR PAYMENT METHOD FOR THE AMOUNT OF YOUR SUBSCRIPTION FEE AND ANY APPLICABLE TAXES ON EACH PERIODIC RENEWAL DATE.

AI Tokens
Certain AdsHelper features consume AI tokens ("Tokens"). Tokens are prepaid usage units, not money or property: they carry no cash or monetary value, are strictly non-refundable and non-transferable (whether between AdsHelper accounts or to any third party), and cannot be exchanged for cash, credit, or any other product or service. Complimentary Tokens included with a subscription plan reset at the start of each monthly cycle and do not carry forward; purchased top-up Tokens carry forward for as long as your account remains active. Any unused Tokens, whether complimentary or purchased, are forfeited without compensation upon cancellation, suspension, or termination of your account. The number of Tokens consumed by each feature may be adjusted from time to time at our sole discretion.

Acceptable Use
You must not use AdsHelper to create, publish or send anything that is illegal, fraudulent, deceptive or misleading, that infringes anyone else's rights, or that breaches the policies of the advertising and messaging platforms you use. This includes scams, phishing pages, unsolicited bulk messages (spam), and content you do not have the right to use. We may, without notice, remove or disable any content, landing page, domain or message that we reasonably believe breaches these terms, and suspend or terminate the account responsible.

Your Content and Data
You keep ownership of the content you upload or create with AdsHelper, including text, images, logos, landing pages, banners and ads. You grant AdsHelper a licence to host, store, process and display that content as needed to provide the Services to you. You confirm that you have the rights to everything you upload. The leads, contacts and customer information collected through your landing pages, forms and WhatsApp are your data: you are responsible for collecting and using it lawfully, including under the Personal Data Protection Act 2010 of Malaysia and any other law that applies to you, and AdsHelper processes it on your behalf to provide the Services. How we handle personal data is described in our Privacy Policy.

Connected Platforms
When you connect a third-party account to AdsHelper, such as Facebook, Instagram, Google, WhatsApp or a payment provider, you authorise AdsHelper to access that account and to act on your behalf as needed to provide the features you use, including creating, publishing, pausing and reporting on ads and sending messages. Your use of those platforms remains subject to their own terms and policies. AdsHelper does not control them and is not responsible for their availability, policy changes, ad reviews, or any restriction, suspension or closure of your accounts on them. Ad spend is charged to you directly by the advertising platform and is not refundable by AdsHelper.

WhatsApp Messaging
If you send WhatsApp messages through AdsHelper, including broadcasts, chatbot and AI replies, you must only message people who have agreed to receive messages from you, honour every request to stop, and comply with WhatsApp's Business and Commerce Policies. You are responsible for every message sent from your number. WhatsApp may limit, flag or block a number for low quality or spam reports; AdsHelper is not responsible for such action or for messages that are not delivered.

AI Agent Features
AdsHelper offers AI-powered features, including NOVA, the Marketing Agent and the WhatsApp AI Agent ("AI Agent Features"), that can suggest strategies, write copy, design banners and landing pages, reply to messages, and create, edit or publish advertising campaigns on your instruction or with your approval. AI Agent Features generate their output automatically and may produce content that is inaccurate, incomplete, outdated, inappropriate or not suited to your business. Their output is not professional, legal, financial or marketing advice.

You are solely responsible for reviewing all content, targeting, budgets and settings before you approve or publish them, and for everything published or sent from your account, including ads, landing pages and messages sent to your customers on WhatsApp or any other channel. You are responsible for making sure your ads and messages comply with applicable laws and with the policies of the advertising and messaging platforms you use (such as Meta, Google and WhatsApp), and that you have your customers' consent to message them.

AdsHelper does not guarantee any result from the AI Agent Features or from any campaign, including leads, sales, reach, return on ad spend, or approval of ads by any platform. Ad spend is charged to you directly by the advertising platform and is not refundable by AdsHelper. To the maximum extent permitted by law, AdsHelper is not liable for any loss or damage arising from the use of the AI Agent Features or from any mistake, error or omission made by them, including ad spend, lost revenue or profit, rejected or disapproved ads, restricted or suspended advertising or messaging accounts, messages sent to the wrong recipient, or claims made by third parties.

Cancellation
You may cancel the service any time you desire. If you would like to cancel a paid service, you must pay throughout any agreed term and you are not entitled to any refund. However, if your credit card is unable to charge and the payment had past due, your account will be suspended immediately. Once your account is suspended more than the designated period, AdsHelper reserves the right to terminate your account without notice. At the same time, we may also cancel your services at our sole discretion, for any reason without notice at any time.

Disclaimer and Limitation of Liability
The Services are provided "as is" and "as available". To the maximum extent permitted by law, AdsHelper makes no warranty that the Services will be uninterrupted, error-free or secure, or that they will achieve any particular result, and is not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, data, goodwill or ad spend, arising from your use of or inability to use the Services, including any downtime, data loss, or error in content, campaigns, landing pages or messages, whether created by you, by the AI Agent Features or by the Services.

Indemnity
You agree to indemnify and hold harmless AdsHelper Sdn. Bhd., its directors, employees and partners against any claim, loss, liability, penalty or expense (including reasonable legal fees) arising from your content, your ads and messages, your use of the Services, or your breach of these terms or of any law or third-party right.

Governing Law
These terms are governed by the laws of Malaysia. Any dispute arising from these terms or the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
